WEST FAYETTE REPUBLICAN CLUB BYLAWS Adopted October 26, 2006 Amended September 25, 2008 (Article IV, Section 4) ARTICLE I – NAME The name of this political organization shall be the WEST FAYETTE REPUBLICAN CLUB. The acronym for the club shall be WFRC. ARTICLE II – PURPOSE THE PURPOSE OF THE WFRC SHALL BE TO: Promote an informed electorate through political education; increase the effectiveness of men and women in the cause of good government; foster loyalty to the Republican Party; promote its ideals and support its objectives and policies; work for the election of the Republican Party’s nominees; encourage the candidacy of qualified Republicans for local offices and promote their campaigns; exert a viable influence on local and State Republican policy. ARTICLE III – AFFILIATION The WFRC is an independent, not-for-profit Club. The funds and property of the WFRC shall not inure to the personal or business benefit of any member, officer, private individual or organization. ARTICLE IV – MEMBERSHIP Section 1: MEMBERSHIP Membership in the WFRC shall be open to all who wish to join regardless of race, creed, ethnic background or gender. A member must be a citizen of the United States of America, a registered voter, and publicly proclaim himself or herself to be a Republican. 2 ARTICLE IV – MEMBERSHIP (continued) Section 2: ELIGIBILITY FOR MEMBERSHIP A. Each prospective member is to submit a membership application, which includes the name, date, address, telephone number(s), and any other information which the applicant cares to furnish or the WFRC deems appropriate. A prospective member thereby subscribes and accepts the Bylaws of the WFRC. Each application shall be approved by a majority vote of the WFRC members present at meeting held after submission. B. New members shall have full membership and voting rights at the meeting immediately following the meeting at which their membership is approved. C. Each member in good standing will be allowed one (1) vote that must be cast in person in all matters. Proxies will not be allowed under any circumstance. D. Membership and voting rights of a member may be revoked with or without cause by a majority vote of members present at any WFRC membership meeting. Section 3: DUES A. Annual dues are due and payable to the Treasurer on January 1 and delinquent thereafter. Dues for new members are due and payable with their application for membership and shall not be prorated. Any new member joining in the last quarter of the year shall be deemed to have paid for both the current and following year. B. Membership dues shall be set by the Executive Committee and ratified by the membership. C. The fiscal year of WFRC shall be from January 1 through December 31. Section 4: USE OF MEMBERSHIP INFORMATION (Amendment added September 25, 2008) Membership information including name, mailing address, phone number and email address shall not be used for any purpose other than club-related business such as notices of meetings and other activities unless the use and the material to be distributed to the membership has been approved by a majority of the Executive Committee. Under no circumstances shall membership information be shared with or given to any third-party individual or organization. 3 ARTICLE V – OFFICERS Section 1: TITLES OF OFFICERS/ TERMS OF OFFICE Officers of the WFRC shall be the President, Vice-President, Corresponding Secretary, Recording Secretary, and Treasurer. Officers of the WFRC shall serve no more than two (2) consecutive one-year terms. Section 2: NOMINATIONS AND ELECTIONS OF OFFICERS A. The five (5) officers shall be elected at the January membership meeting of the WFRC, or the next such membership meeting if none is held in January (the “Annual Meeting”), for a term of one (1) year or until replaced. A simple majority of members present shall be required for election of officers. 1. A Nominating Committee of not less than three (3) members shall be appointed by the Executive Committee at the October meeting prior to the January Annual Meeting. a) The Nominating Committee shall elect a Chair from its membership. The Nominating Committee shall nominate one (1) member in good standing, who has been a WFRC club member for at least six (6) months, for each office of WFRC. b) The Nominating Committee shall notify the membership prior to the January meeting of the proposed slate of officers and before the announcement at the January meeting. 2. An Election Committee of not less than three (3) members shall be appointed by the President at a regular meeting prior to the January Annual Meeting. This committee shall provide all election material and shall act as tellers for the election. a) In order to vote, membership dues must be received by the Treasurer by January 01 prior to the Annual Meeting. A paid membership roster must be available at the Annual Meeting in case of questions concerning the payment of dues. 3. The Chairman of the Nominating Committee shall chair the election. a) The Nominating Committee shall make its report and present its slate of candidates, after which nominations from the floor, of members who have been a member of WFRC for at least six (6) months, shall be allowed for each office to be filled. b) Where there is only one (1) candidate for an office, election may be by voice vote. Where there is more than one candidate for an office, a majority of votes cast by secret ballot shall be necessary to elect. In the event no candidate receives a majority of votes cast on the first ballot, a second ballot shall be taken between the two (2) candidates receiving the highest number of votes on the first ballot. 4. The newly elected officers will assume their duties as of February 01. 4 Section 2: NOMINATIONS AND ELECTIONS OF OFFICERS (continued) 5. Following the January meeting and prior to the February meeting, there shall be a joint meeting comprised of members of the outgoing Executive Committee and members of the incoming Executive Committee to assist and ease the transition from one governing body to the next. Section 3: DUTIES OF OFFICERS A. Duties of the President shall be: 1. To preside at all meetings of the WFRC and of the Executive Committee. 2. To have general supervision of the work of the WFRC. 3. To appoint all committee chairmen and co-chairmen except the Nominating Committee with the approval of a majority of the elected members of the Executive Committee. 4. To outline the duties of the various committees. 5. To serve as ex-officio member of all committees (except the Nominating committee) with the right to vote. 6. To sign checks in the absence of the Treasurer. 7. To have authority to spend twenty-five dollars ($25.00) monthly without Executive Committee approval, if needed, for WFRC business. 8. To receive a copy of the Minutes of monthly meetings from the Secretary. 9. To perform other such duties applicable to the office as prescribed by the Executive Committee. B. Duties of the Vice-President shall be: 1. In the absence of the President, to perform the duties of the President. 2. To chair the Program Committee. 3. To send “Thank You” notes to guest speakers. 4. To perform other such duties applicable to the office as prescribed by the Executive Committee. C. Duties of the Corresponding Secretary shall be: 1. To advertise and promote the activities of WFRC, including special events, via a newsletter, U. S. Mail, telephone, facsimile, electronic mail, website, or any other avenue available, as approved by the Executive Committee. 2. To inform WFRC members of correspondence that is of interest to members and the public at large. 3. To send sympathy cards, congratulation messages, and any special event messages. 4. To perform other such duties applicable to the office as prescribed by the Executive Committee. 5 Section 3: DUTIES OF OFFICERS (continued) D. Duties of the Recording Secretary shall be: 1. To record and make available at all membership meetings, the minutes of the previous meeting. 2. To keep and make available at all Board meetings, the minutes of the previous meetings of the current fiscal year. 3. To serve as custodian of all records of WFRC. 4. To keep an up-to-date roster of members as provided by the Treasurer, and to read it when called upon. 5. To keep an up-to-date notebook containing the By-Laws. 6. To perform other such duties applicable to the office as prescribed by the Executive Committee. 7. To provide all copies of minutes to the President. E. Duties of the Treasurer shall be: 1. To receive and be custodian of all the funds of WFRC. The Treasurer shall deposit all funds in the Executive Committee depository. 2. To keep an accurate account of all monies received and distributed by the Treasurer and to report in full at all meetings. 3. To sign checks as necessary with two (2) signatures required. The Treasurer, President, Vice-President and Secretary shall be approved to sign checks. 4. To keep an up-to-date roster of the membership of WFRC and collect dues. 5. To be responsible for preparing and filing the quarterly “Campaign Financial Disclosure Statement” with the State of Tennessee, Registry of Election. 6. To perform other such duties applicable to the office as prescribed by the Executive Committee. Section 4: VACANCY OF AN OFFICE A. In the event that the office of President becomes vacant, the Vice President shall assume this position and serve the remainder of the term. Any other vacancy occurring during the year shall be filled by appointment of the President with approval of the Executive Committee. B. Duties of the officers shall be those prescribed in the By-Laws of WFRC. D. Upon missing three (3) consecutive Executive Committee Meetings with unexcused absences, a member of the Executive Committee will be considered to have resigned. 6 ARTICLE VI – MEETINGS Section 1: REGULAR MEMBERSHIP MEETINGS The WFRC shall conduct no less than eight (8) regular meetings annually at a time and place as decided by the Executive Committee. Section 2: NOTICE OF MEMBERSHIP MEETINGS Notice of meetings shall be made to all dues paid members, via a newsletter, U. S. Mail, telephone, facsimile, electronic mail, website, or any means available, as approved by the Executive Committee. Section 3: CANCELLATION OF MEMBERSHIP MEETINGS Cancellation of membership meetings shall be at the call of the President. Members shall be notified by the Corresponding Secretary via means as specified in duties as defined in Article V, Section 3, Paragraph C. In the event it is necessary to reschedule the meeting, the President shall have this authority. Section 4: SPECIAL MEETINGS A. Special Meetings of the Membership 1. Special meetings of the membership shall be held at the call of the President or upon the request of twenty (20) members in good standing. 2. Purpose of the meeting shall be stated in the called special meeting. No other business shall be transacted at a special called meeting other than the purpose(s) set forth in the notice. 3. All members are to be notified ten (10) days in advance of special meetings stating the purpose(s) of the meeting, either via a newsletter, U. S. Mail, telephone, facsimile, electronic mail, website, or any means available, as approved by the Executive Committee. B. Special Meetings of the Executive Committee Special meetings of the Executive Committee shall be held at the call of the President. 7 ARTICLE VII – COMMITTEES Section 1: EXECUTIVE COMMITTEE The Executive Committee shall be comprised of the current President, the immediate Past President, the Vice-President, the Corresponding Secretary, the Recording Secretary, and the Treasurer. The Executive Committee shall have authority to conduct the essential and necessary day-to-day business and affairs of the WFRC. The Executive Committee shall meet prior to each membership meeting for the purpose of planning agendas, programs, special events and any other business to bring before the membership at such membership meetings. Section 2: COMMITTEES Committees shall be all other committees deemed necessary by the Executive Committee nominated by the President and approved by the Executive Committee. ARTICLE VIII – ENDORSEMENT OF CANDIDATES Endorsement may be made of any candidate in a general election when approved by a vote of two-third (2/3) majority of members present. No endorsement shall be made in any contested primary election. ARTICLE IX – DISSOLUTION Lack of participation by members shall be justification for dissolution of the WFRC. Previous notice and a two-thirds (2/3) vote of members present can dissolve WFRC. All outstanding bills will be paid, and the remaining money will be donated to the Fayette County Republican Party. ARTICLE X – PARLIAMENTARY AUTHORITY The then current edition of Robert’s Rules of Order Newly Revised shall govern all meetings of WFRC, its Executive Committee and its Committees except where inconsistent with the provisions of these Bylaws. 8ARTICLE XI – AMENDMENT OF BY-LAWS A. Any proposed amendment to the WFRC Bylaws must be presented to all dues paid members, via either newsletter, U. S. Mail, e-mail, facsimile, website or other means of notice. No vote shall be allowed until the following membership meeting. B. All amendments require a two-third (2/3) majority vote of the members present at a membership meeting at which such amendment(s) are considered.
